Materials Use License and Release and Waiver of Claims

For good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged by me, I (“Licensor”) hereby grant the American Veterinary Medical Association (“AVMA”) and the American Veterinary Medical Foundation (“AVMF”) (collectively, “Licensee”) a worldwide, nonexclusive, nontransferable, irrevocable, fully paid, royalty-free, license to use and incorporate all photos, video, text, and any content provided by me to Licensee (“Works”) for marketing, promotion, and all other uses including, but not limited to, displaying the Works on publicly accessible pages of Licensee’s websites, social media, the Internet, and publishing and disseminating the Works in printed hard copy format, and through any other media now known or hereinafter discovered.

Licensor warrants that it is the owner of all right, title and interest in and to the Works or has obtained the right from any other copyright owners of the Works to license them to third parties, including the Licensee. Licensor warrants that Licensor has authority to grant the license herein to the Licensee on behalf of Licensor and any and all additional parties that own rights of publicity or copyrights in the Works or any portion thereof. Licensor further warrants that the provision of this license and the use of the Works by the Licensee as described herein will not infringe upon the rights of any other persons or entities. Licensor also warrants and represents that it has obtained the appropriate legal permissions and consents from any persons and/or the owners of any animals whose names or likenesses are depicted in the Works thus providing Licensor authority to grant the license for the Works to the Licensee as described herein.

Licensor specifically, but without limitation, to the fullest extent allowed under applicable law, waives, and agrees not to bring at any time in the future, any claims whatsoever against the AVMA or AVMF, or against any of its assignees or licensees or anyone associated with Licensee, including but not limited to assertions of (a) infringement of rights of publicity or misappropriation (such as any allegedly improper or unauthorized use of any name or likeness or image), (b) intrusion (such as any allegedly offensive behavior or any invasion of privacy), (c) false light (such as any allegedly false or misleading portrayal), (d) copyright or trademark infringement, (e) defamation (such as any allegedly false statements), or (f) breach of alleged moral rights.

Licensor further warrants that it has read and understands the terms set forth herein above and agrees to those terms.
